Code Kumite operates in strict adherence to applicable Indian corporate, tax, and digital law. This page provides an overview of our legal standing and points you to the specific policy governing each area of our relationship with you.
1. Corporate Structure
Code Kumite is a business entity operating under the jurisdiction of Indian corporate law, headquartered in Kolkata, West Bengal, India. All software development, consulting, and SaaS engagements are governed by our standard commercial terms and, where applicable, a signed Master Service Agreement (MSA) or Statement of Work (SOW).
2. Governing Documents
Our relationship with clients and website users is governed by the following documents, each covering a specific area:
- Terms of Service — the general terms governing use of our website and Services, including intellectual property, warranties, liability, and dispute resolution
- Privacy Policy — how we collect, use, and protect personal data
- DPDP Act Compliance — your rights as a Data Principal under India's Digital Personal Data Protection Act, 2023
- Payment Terms — invoicing, due dates, accepted payment methods, and late payment consequences
- Refund Policy — when and how refunds are available
Where a signed SOW or MSA exists between you and Code Kumite, its terms take precedence over these general policies to the extent of any conflict.
3. Taxation and Invoicing
All services are billed in INR (₹) unless explicitly stated otherwise for international clients, in accordance with our Payment Terms. Applicable taxes, including GST, are calculated and presented transparently on our invoices in accordance with Indian tax law.
4. Software Licensing and Intellectual Property
Custom software development projects are governed by the intellectual property provisions of our Terms of Service and, where applicable, a specific MSA defining ownership, licensing terms, and post-deployment maintenance obligations. Code Kumite retains ownership of its proprietary platforms, frameworks, and pre-existing intellectual property used in the delivery of any engagement.
5. Regulatory Compliance
Where our products and services process personal or business-sensitive data on your behalf (e.g. patient records in a clinic management system, employee data in an HRMS), we design our systems with data protection principles in mind and support your own compliance obligations under applicable law, including the DPDP Act. You remain responsible for your own regulatory compliance as the data controller/fiduciary for data you input into systems we build or host for you.
6. Dispute Resolution
Disputes arising from our engagements are handled in accordance with Section 12 of our Terms of Service — good-faith negotiation first, followed by the exclusive jurisdiction of the courts of Kolkata, West Bengal, India, governed by the laws of India.
